Barnes Noble Reports Record NOOK Sales

Barnes Noble, Inc. (NYSE: BKS), the leading retailer of
content, digital media and educational products, today reported
record holiday sales for its NOOK business, including devices and
digital content. During the nine-week holiday period ending
December 31, 2011, NOOK unit sales, including NOOK Simple Touch,
NOOK Color and the new NOOK Tablet, increased 70% over the same
period last year. Sales of NOOK Tablet exceeded expectations, while
sales of NOOK Simple Touch lagged expectations, indicating a
stronger customer preference for color devices. Digital content
sales also grew briskly during the same nine-week period,
increasing 113% on a comparable basis. Content sales are defined to
include digital books, digital newsstand, and the rapidly growing
apps business. The entire line of NOOK products have been acclaimed
widely as the best in the marketplace, and validate the Companys
first-class digital organization. While the Company has invested
heavily in developing its new platform, including recruiting
world-class talent and increasing its advertising and marketing
spend, its customer Life-Time-Value (LTV) models continue to
indicate these up-front investments will create significant value.
The Company expects fiscal 2012 digital content sales to be
approximately $450 million. By fiscal 2012 year-end, based upon
forecasted device sales, the Company expects annualized U.S.
digital content sales will achieve a run-rate of approximately
$700-$750 million. Due to the increased significance of the NOOK
business platform, the Company is evaluating its reporting
segments. The evaluation is expected to be complete by the end of
this fiscal year, which may result in reporting NOOK as a separate
operating segment. STRATEGIC EXPLORATION OF NOOK DIGITAL BUSINESS
In order to capitalize on the rapid growth of the NOOK digital
business, and its favorable leadership position in the expanding
market for digital content, the Company has decided to pursue
strategic exploratory work to separate the NOOK business. We see
substantial value in what weve built with our NOOK business in only
two years, and we believe its the right time to investigate our
options to unlock that value, said William Lynch, Chief Executive
Officer of Barnes Noble. In NOOK, weve established one of the
worlds best retail platforms for the sale of digital copyright
content. We have a large and growing installed base of millions of
satisfied customers buying digital content from us, and we have a
NOOK business thats growing rapidly year-over-year and should be
approximately $1.5 billion in comparable sales this fiscal year.
Between continued projected growth in the U.S., and the opportunity
for NOOK internationally in the next 12 months, we expect the
business to continue to scale rapidly for the foreseeable future.
The Company also said that it is in discussions with strategic
partners including publishers, retailers, and technology companies
in international markets that may lead to expansion of the NOOK
business abroad. There can be no assurance that the review of a
potential separation of the NOOK digital business will result in a
separation. There is no timetable for the review, and the Company
does not intend to comment further regarding the review, unless and
until a decision is made. RETAIL HOLIDAY SALES RESULTS During the
nine-week holiday period, Barnes Noble store (or Retail) sales
increased 2.5% over the prior year period to $1.2 billion.
Comparable store sales increased 3.4%, on top of a 9.7% increase
last year. Retail core comparable store sales, defined as the sales
of non-digital merchandise, increased 4.5% over last year. Book
sales were strong overall, fueled by strength across multiple
categories. Juvenile titles were exceptionally strong, led by The
Hunger Games, Cabin Fever (Diary of a Wimpy Kid Series #6),
Inheritance, and The LEGO Ideas Book. In addition, there was
significant crossover between physical and digital book sales,
including big movie books like The Help, The Girl With the Dragon
Tattoo and War Horse among the holiday hits. Physical book sales on
a comparable basis increased by 4% at Barnes Noble stores,
exhibiting growth for the first time in five years. The Companys
continued emphasis on Toys Games led to 30% growth in that area, on
top of a 48% increase last year. Top sellers included LEGO building
sets, Harry Potter collectibles and games, Angry Birds games and
electronic learning tablets such as LeapFrog LeapPad Explorer and
Vtech Innotab Tablet. Barnes Noble continues to benefit from a
consolidating physical book market. The Company benefited from the
closure of Borders stores during the holiday season and now expects
the sales lift to be in a range of $200 million to $230 million in
fiscal 2012. The Company reinvested the Borders upside in its
digital business. BN.COM/NOOK HOLIDAY SALES RESULTS BN.com sales
increased 43% over the prior year period to $327 million, with
comparable sales increasing 52%, on top of a 78% increase a year
ago. This increase was driven by continued growth of the NOOK
business, offset by a decline in online physical product sales. The
consolidated NOOK business across all of the Companys segments,
including sales of digital content, device hardware and related
accessories, increased 43% during the holiday period to $448
million, on a comparable sales basis. A substantial portion of the
70% year-over-year NOOK unit increase was driven by sell-through at
third-party retailers as the Company expanded NOOK distribution.
This growth in sales with customers at retailers outside of Barnes
Noble stores is indicative of the increasing awareness of the NOOK
brand and demand for the product from customers new to Barnes
Noble. BN.com and NOOK comparable sales reflect the actual selling
price for eBooks sold under the agency model rather than solely the
commission received. Additionally, it includes all deferred eReader
device revenues, and includes device sales to channel partners on a
sell-in basis net of estimated returns. UPDATED GUIDANCE The
Company now expects full fiscal year 2012 consolidated sales
between $7.0 billion and $7.2 billion. Comparable sales at Barnes
Noble stores are expected to increase 1%, Barnes Noble College
sales are expected to be flat, and sales are expected to increase
40% to 50% at BN.com. The Company now expects full year earnings
before interest, taxes, depreciation and amortization (EBITDA) to
be in a range of $150 to $180 million. The change in guidance is
due primarily to a shortfall in the expected sales of NOOK Simple
Touch, as well as additional investments in growing the NOOK
business, such as advertising to support new products and
international expansion in the back half of the year. The Company
now expects full year losses per share to be in a range of $1.40 to
$1.10. Although Barnes Noble was the first to the market with a
revolutionary color eReader and has since introduced NOOK Tablet,
which has exceeded expectations, the Company over-anticipated the
growth in consumer demand for single purpose black-and-white
reading devices this holiday. Nevertheless, NOOK Simple Touch saw
strong sales this holiday, remains the highest rated eReader in the
market, and the Company plans to continue to market this successful

Campus Crest Acquires Full Ownership Interests in Two Joint Venture Properties

Campus Crest Communities, Inc. (NYSE:CCG) (the Company) today
announced it has closed on the purchase of the remaining 50.1%
interests in The Grove at Huntsville, TX and The Grove at
Statesboro, GA from Harrison Street Real Estate Capital (HSRE). The
Company closed on the $13.5 million acquisition on December 29,
2011, increasing its equity interest in both properties from 49.9%
to 100.0%. Based on an estimate of the next 12 months net operating
income, the acquisition implies a nominal cap rate of approximately
6.6%. Additionally, both properties include excess land for future
development of additional phases containing approximately 240 beds
each. Including these potential expansions, the acquisition implies
a nominal cap rate of approximately 6.8% - 7.3% based on stabilized
net operating income. Concurrently with the acquisition, the
Company closed on $28.7 million of term loans for the two
properties. The loans provided by Citibank, N.A. (Citi) have a term
of one year with an option to extend for an additional year, and
bear interest at LIBOR plus 250 basis points. The loans replace
more expensive construction debt and provide flexibility as the
Company evaluates longer-term financing alternatives. Huntsville
and Statesboro are two great additions to our wholly-owned
portfolio. The properties are within close proximity to campus at
universities that are experiencing significant enrollment growth,

Executive Officer. The ability to increase our ownership in assets
developed and successfully operated by Campus Crest since opening

Additionally, the land for potential expansions make this
acquisition a great opportunity for us. Opened in 2010, The Grove
at Huntsville is located approximately 0.2 miles from the Sam
Houston State University campus in Huntsville, TX. For the fall of
2011, the university had an enrollment of 17,618, up almost 11%
since the fall of 2006. The property was 92.7% occupied as of
December 31, 2011 and achieved an average occupancy of 99.0% in its
first year of operation. The Grove at Statesboro, also opened in
2010, is located approximately 0.7 miles from the Georgia Southern
University campus in Statesboro, GA. For the fall of 2011, the
university had an enrollment of 20,212, up over 23% since the fall
of 2006. The property was 98.9% occupied as of December 31, 2011
and achieved an average occupancy of 97.6% in its first year of
operation. On December 29, 2011, the Company also closed on a term
loan for The Grove at Conway, a HSRE joint venture project, under
the same terms described for The Grove at Huntsville and The Grove
at Statesboro. In total, the Company closed on $77 million of
Citi-funded term loans secured by six properties during the fourth
quarter of 2011. The other three properties The Grove at Lawrence,
The Grove at Moscow and The Grove at San Angelo are also HSRE joint

Tech MA Spending Increases 17% in 2011 as Number of Transactions Hits a Five-Year High

Led by multibillion-dollar strategic deals from Hewlett
Packard (NYSE: HPQ) Google (NASDAQ:GOOG), Microsoft (NASDAQ: MSFT),
SAP (NYSE:SAP), Texas Instruments (NYSE:TXN) and others, technology
acquirers increased MA spending for the second year in a row in
2012. Acquirers spent $219bn to purchase 3,690 information
technology, telecommunications and Internet companies around the
world last year, a 17% increase in spending and a 13% increase in
number of deals from 2010. The total deal count hit its highest
level since 2006, as MA activity continues to dig out from its
downturn in the recession of 2008-2009. The data, released today,
is available to subscribers of 451 Researchs MA KnowledgeBase. The
fact that deal-makers managed to generate an increase in spending
last year is remarkable given the turmoil that has shaken the
financial markets since summer," said Brenon Daly, Research
Director for MA at 451 Research. Daly noted that just two of the 10
largest deals of 2011 came in the final four months of the year,
when concerns about Europes debt crisis reached their highest
point. Much of the increase in activity in 2011 can be explained by
growth in acquisitions outside of North America as US buyers
increased their cash outlays for international targets. MA spending
on non-North American targets increased 48% year-over-year while
the number of deals increased 28%. Private equity firms did little
to contribute to the increase in spending. While the total number
of private equity-sponsored transactions increased by 44% in 2012,
their total outlays increased only seven percent from the
prior-year level, accounting for 14% of the past years tech
spending, a couple of percentage points less than financial buyers
represented in 2010. In fact, there wasnt a single private equity
transaction among the 10 largest deals of 2011 the first time that
has happened since 2008. Among the significant transactions of the
past year: -Google, looking to bolster its mobile business through
both hardware and patents, paid $12.5bn for Motorola Mobility,
spending more than it has spent, collectively, on the more than 100
deals it had announced up to the point. - In early December, SAP
inked the largest software-as-a-service transaction ever, spending
$3.65bn to acquire human capital management software vendor
SuccessFactors (NASDAQ:SFSF). -Hewlett-Packard, looking to
jumpstart its software business, paid a startlingly high premium to
take home British information management vendor Autonomy. The
$11.7bn price tag represents the largest software deal in seven
years, but also contributed to the ouster of the architect of the
deal (Leo Apotheker) after less than a year as HPs chief executive.
- Texas Instrumentss $6.5bn acquisition of National Instruments
(NYSE: NSM) stands as the largest semiconductor deal yet by a
strategic buyer. - Microsofts $8.5bn purchase of Skype marked the
software giants largest acquisition. - And a tech consortiums
purchase of Nortel patents for $4.5bn underscored the growing
importance of having legal defense of IP, particularly in the
rapidly emerging wireless sector. More growth expected for 2012
Tech MA professionals expect deal growth to continue in 2012,
according to recent surveys of MA professionals by 451 Research. In
the surveys, completed in early December, 56% of corporate
acquirers and 67% of senior investment bankers said they expect to
see an increase in technology MA this year. Further, when asked
about the overall climate for MA in 2012, three times the number of
corporate development executives projected that it would get better
rather than worsen (43% vs. 14%). That said, financial crises in
both Europe and the U.S. will weigh heavily on MA. Two-thirds of
the corporate buyers said tech MA would likely pick up if European
leaders could make 'meaningful progress' in their debt crisis.
Without a doubt, the on-going economic turbulence in Europe is
creating a number of headwinds for deal-makers right now, said 451
Research's Daly. To get a deal done, buyers need both currency and
confidence. While most tech companies have record levels of cash to
spend, the outlook for the companies they can spend it on is fairly
murky. Thats causing some buyers to hold off on acquisitions. And
so far, European leaders have done precious little to restore

The immigration debate is tiring; skilled, unskilled and
brilliant our country needs them all. Businesses should not be
limited to only U.S. workers, nor should the government tell
business who they can/cannot hire; nor should we encourage
companies to set up shop and jobs overseas. Just the opposite.
Three legitimate issues for an immigrant workforce remain: a
security check, payment into the federal tax system, and no
wholesale undercutting U.S. wage scale (if a business does opt for
a non citizen worker). The world has changed and our immigration
system is outdated and inefficient, hurting our business community
and our ability to compete in the world. None of this is to say
U.S. citizens are not a vital and important resource for U.S.

The Dream Act: Not Likely to Pass

I have two feelings about the Dream Act. One, Id like it to
pass. At the same time, I can see reasons to hold off. The other
side calls it an amnesty, an open door. There is the potential,
almost a certainty, that thousands will file fraudulent and
undeserved applications. Of course, for those that eventually
obtain U.S. citizenship through Dream, there are also subsequent
beneficiaries. Essentially, the act itself would give illegal
parents and older siblings reason to stay. My long standing
approach would be to document all those that are here and who will
surrender themselves to digital fingerprints and background checks.
For those that are presently working under the table, for the first
time theyd pay into the federal tax system. Issue a fraud proof
identity card, the same smart card technology would also be issued
to everyone else living or visiting the United States. Criminal
aliens wont sign up leaving themselves high visible and vulnerable
to removal. Each documented alien will have 10 years to learn
English, and through whatever immigration system is in place must
find a way to obtain citizenship. The commission of a serious crime

Skeptical Paul M. Heller, Esq: Beware and be skeptical this
initiative is unlikely to change anything. USCIS culture and
perspective on employment-based immigration is the opposite of what
it should be. Ive read the USCIS guidelines and there is nothing
new, no new visa categories, additional visas or mandate or
direction to the adjudicators to focus on how to approve cases as
opposed to looking for ways to deny or harass intending those
seeking immigration. The police mentality will remain. Yesterday,
Department of Homeland Security (DHS) Secretary Janet Napolitano
and U.S. Citizenship and Immigration Services (USCIS) Director
Alejandro Mayorkasannounced a series of policy initiatives
designed to fuel the nations economy and stimulate investment by
attracting foreign entrepreneurs who can invest in fields of high
unemployment, create jobs, and form startup companies. Its
important that the agency keep this recognition in mind as it

WHAT WOULD I DO? COMING TO AMERICA

Having worked in this field now almost 30 years, Ive always
felt that my knowledge and insight about how immigration
adjudicators (and the bureaucracy itself) actually think, from an
insiders perspective, is of utmost importance and help to our
clients. Although this insiders view is not technically legal in
nature, and goes beyond statutes and immigration regulations, that
is, the law, it is profound. Over the years, this insight has
allowed my firm to succeed where others might fail. But it is also
important for immigration practitioners to know how a foreign
national thinks about immigration, even before they arrive or
become a client? Ive found over the years that most intending
immigrants do not fully appreciate how illogical our immigration
system is; they assume, wrongly, that it is a rational and fair
system that it makes sense. This presumption is a gross mistake.

THE NEW H1B REGISTRATION PROPOSAL: CLARIFICATION QUESTIONS

There is lots of confusion about the proposal, what is
required, and when it becomes law. The USCIS has made it clear that
for fiscal year 2012, beginning October 1, 2011, the H-1b lottery,
as it has become known, will remain the same. Full package H1b
petitions will be accepted on April 1, 2011, without change.
Although theoretically I like the idea of a pre-registration, the
question remains for me: what is the process of registration, will
entities such as Microsoft, Apple, and others, who often file
hundreds, if not more, petitions, be able to capture and have set
aside multiple visas? That is, will they get to designate how many
H1b candidates they are registering for? If so, will they have to
identify the individuals? Will they be able to later substitute a
candidate? It is important to note that as of now this is only a
proposal, with little if any answers. It is a period of public
comment. My concern, and I am not alone, is how this process will
impact small employers and/or startups. Will they be at a

READ MY LIPS: IMMIGRATION IS NOT A DIRTY TERM

Unfortunately, the immigration debate, in fact, the word
immigration itself, has been, and is, associated with pejorative
terms such as: illegal immigration and amnesty. I see the
word immigration quite differently, not a dirty word at all. I
myself associate it with being an important and necessary part of
any solution in these terrible economic times. Something we
should embrace, not push away. I think of words like innovation,
entrepreneurship, hard work and skilled workers, investors, bright
people, scientists, engineers and researchers. I think needed
people in STEM professions and occupations (science, technology,
mathematics, engineering). I wonder why we put limits on the
workforce U.S. business can hire, only to see highly talented
individuals unavailable to such companies, who would otherwise have
positions for them. I then find those same companies opting to go
abroad and seek overseas talent that they could otherwise have
hired here. Questions like why we force brilliant minds home after
allowing them to obtain a first class education, more often a post
graduate education, in this country? I ask what is wrong with
us?

The DREAM Act

DREAM Act will once again fail to be enacted by Congress (although
one never knows). Political winds and realities change rapidly and
our elected representatives, often hesitantly and cautiously, will
follow such changes especially if they perceive a true shifting
current. I receive calls daily from individuals who would be helped
by such legislation, but Obama himself has many unilateral
immigration tools that he could use to benefit the immigrant
community (well beyond this) and, so far, has chosen to stay on the

USCIS Increases Immigration Fees Effective November 23, 2010

USCIS will increase immigration fees by an average of 10%
Effective November 23, 2010. Here is the table of existing and
adjusted fees:

First Preference Employment-Based Immigration (EB-1)

A First Preference Immigration Petition (EB-1) is an
employment-based petition for permanent residence reserved for
those who are among the most able and accomplished in their
respective fields within the arts, sciences, education, business,
or sports. There are three (3) types of EB-1 petitions: Alien of
Extraordinary Ability EB-1(a) Outstanding Researcher/Outstanding
Professor EB-1(b) Managers and Executive Transferees EB-1(c) The
most notable advantage for those who qualify for an EB-1 petition
is the lack of a Labor Certification requirement. Obtaining a Labor
Certification is a time-consuming and expensive process that seeks
to determine whether a qualified U.S. worker is available to fill
the position sought by the petitioning alien. In addition to the
time and expense of the Labor Certification process, an alien risks
being denied a Labor Certification if a U.S. worker with technical
qualifications for the employment is found (even if the alien is
actually more suitable for the position based on factors not
considered in the Labor Certification process). In an EB-1
petition, Labor Certification is not required at all. In an EB-1(a)
petition, a permanent job offer is not required, and an alien may
